Nicole Parker Consulting, LLC (“Company,” “Consultant,” “we,” or “us”). These Terms & Conditions (“Terms”) govern your use of this website and any services or products purchased through it.
By accessing this website, booking services, or purchasing products, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use this website or purchase services.
Privacy Policy
Your use of this website is also governed by our Privacy Policy, which describes how we collect, use, and safeguard your information. By using this website, you consent to the collection and use of information in accordance with our Privacy Policy.
Nature of Services
Nicole Parker Consulting, LLC provides strategic advisory and business consulting services. All services are advisory in nature. Consultant does not manage, implement, or execute business operations on behalf of clients unless expressly agreed in writing.
You acknowledge that you retain full responsibility for all business decisions, implementation, and outcomes arising from consulting services.
No Guarantee of Results
Consulting services involve professional insight, analysis, and strategic guidance. Consultant does not guarantee specific financial results, revenue growth, profitability, or business outcomes. Results depend on numerous factors outside Consultant’s control, including execution, market conditions, staffing decisions, and broader economic forces.
Separate Service Agreements
Certain services, including consulting retainers and longer-term engagements, may require a separately signed written agreement. If a signed agreement exists between you and Consultant, that agreement governs in the event of any conflict with these Terms.
Booking, Payments, and Refund Policy
Unless otherwise stated in a signed agreement, payment is due at the time of booking or purchase and services will not begin until payment is received. Fees are non-refundable once services have commenced. Digital products and downloadable materials are non-refundable.
For committed-term agreements, payment obligations remain in effect according to the signed contract, regardless of early termination unless otherwise specified. Late or failed payments may result in suspension or cancellation of services at Consultant’s discretion.
Scheduling and Cancellations
Unless otherwise stated in a signed agreement, sessions may be rescheduled with at least twenty-four (24) hours’ notice. Sessions canceled or missed with less than twenty-four (24) hours’ notice may be forfeited. Unused time does not roll forward unless expressly agreed in writing.
Client Responsibilities
You agree to provide accurate and timely information, attend scheduled sessions prepared and on time, participate actively in strategic discussions, and independently implement recommended actions. Consultant provides strategy and guidance; execution remains your responsibility.
Intellectual Property
All website content, frameworks, methodologies, templates, guides, downloads, and materials are the exclusive intellectual property of Nicole Parker Consulting, LLC and are protected under applicable intellectual property laws.
Purchase or participation grants you a limited, non-transferable, non-exclusive license for internal business use only. You may not reproduce, distribute, share, sublicense, resell, or modify materials without prior written permission.
Website Use
You agree not to copy or reproduce website content without permission, use the website for unlawful purposes, or attempt to interfere with the website’s functionality or security. All content on this website is protected under applicable copyright and intellectual property laws.

Consultant shall not be liable for any loss, delay, interruption, data breach, or damages arising from the failure, outage, or malfunction of third-party systems beyond Consultant’s reasonable control.
Electronic Communications
By using this website or booking services, you consent to receive electronic communications from Nicole Parker Consulting, LLC, including emails related to scheduling, services, invoices, updates, and other engagement-related matters. You agree that electronic communications satisfy any legal requirement that such communications be in writing.
Disclaimer of Warranties
This website and all services, content, and materials provided by Nicole Parker Consulting, LLC are provided on an “as is” and “as available” basis. Consultant makes no representations or warranties of any kind, express or implied, regarding the operation of the website or the information, content, or services provided.
To the fullest extent permitted by law, Consultant disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
Limitation of Liability
To the fullest extent permitted by law, Consultant’s total liability for any claim arising from services or website use shall not exceed the amount paid by you for the specific service giving rise to the claim.
Consultant shall not be liable for any indirect, incidental, consequential, special, exemplary, or lost-profit damages, even if advised of the possibility of such damages.
Indemnification

This provision survives termination of services.
Insurance
Consultant maintains commercially reasonable professional and general liability insurance coverage consistent with industry standards. Proof of insurance may be provided upon written request.
Independent Contractor Status
Consultant operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, fiduciary, agency, or employment relationship between the parties.
Force Majeure
Consultant shall not be liable for delays or failure to perform due to causes beyond reasonable control, including acts of God, natural disasters, internet outages, governmental actions, platform outages, or other unforeseen events.
Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be handled exclusively in the appropriate state or federal courts located in Virginia.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement
These Terms, together with any signed agreement, proposal, invoice, and referenced policies, constitute the entire agreement between the parties regarding website use and services. Any modifications must be made in writing and agreed upon by both parties.
